Root Locale Membership Terms of Service

Welcome to Root Locale (we, us, or our). These Terms of Service (Terms) govern your access to and use of our membership services (Services), including the Essentials Plan and Partner Plan, provided through our website (rootlocale.com) and related applications. By enrolling in a membership plan, you (Member, you, or your) agree to these Terms. If you are entering into these Terms on behalf of a chamber of commerce, tourism board, or other organization, you represent that you have the authority to bind that entity.
1. Membership Plans and Services We offer two membership plans designed to promote your locations (e.g., attractions, landmarks) via our mobile app and website. All plans are billed monthly or annually and auto-renew unless canceled. 1.1 Essentials Plan ($25/month or $250/year) – Up to five (5) sponsored location spots plotted on our in-app map. – One (1) profile listing on our website directory. – Visibility of your locations via in-app pins and basic search features. – Access to a Member dashboard for managing your spots. 1.2 Partner Plan ($10/month or $100/year) – All features of the Essentials Plan (up to five (5) sponsored spots, one (1) website profile, in-app pins, and dashboard access). – Additional Requirement: You agree to send two (2) promotional email blasts per calendar year to your mailing list, promoting Root Locale or featured locations. We will draft the email content for your approval; you are responsible for sending via your own email service provider and ensuring compliance with applicable laws (e.g., CAN-SPAM Act). – Difference from Essentials: The Partner Plan provides the same core promotion features at a discounted rate in exchange for your active participation in email outreach, which helps grow our shared user base. You may upgrade or downgrade plans at any time, effective at the end of your current billing cycle. Downgrades may result in loss of features. All locations must be pre-approved by us and comply with our content guidelines (no misleading info, illegal activities, or spam).
2. No Performance Guarantees Our Services promote your locations through visibility on maps, profiles, and (for Partner members) email campaigns. However, we do not guarantee any specific results, including but not limited to clicks, views, visits, bookings, revenue, or user engagement. Outcomes depend on factors beyond our control, such as user behavior, market conditions, and search algorithms. We aim to maximize exposure based on available traffic, but actual performance may vary, including zero interactions.
3. Member Obligations – You agree to: – Supply accurate details for all your locations and profiles. – For Partner Plan users: – Month-to-month: send your first email within thirty days of sign-up; send the second before you cancel or within the first six months(whichever comes first.) If Emails are not sent, you may be reverted to Essentials at twenty-five dollars a month; we reserve the right to back-charge the difference from your initial contract date. Yearly: send the first email within sixty days; send the second in month six of the term (you may contact us [email protected] to request an exception.) We reserve the right to revert-and-back-bill if either isn’t sent. We may request images or extra copy for your listings, or you may request we modify or change the images on the listings. Please do this in a timely manner, fourteen days from initial agreement. We’ll then give you up to another fourteen days to review, and the version we publish stands as final unless you request a modification. By submitting any images, text, or materials, you grant Root Locale an irrevocable, perpetual, worldwide, royalty-free license to use them across our app, site, and marketing-no take-backs. You agree to comply with all applicable laws, including data privacy (e.g., GDPR, CCPA) for your email lists, failure to do so does not implicate Root Locale or RootLocale.com in any way. Do not misuse the Services, such as scraping data or promoting prohibited content.
4. Payments and Billing – Fees are non-refundable except within the first seven days of a new membership. – All plans auto-renew monthly or yearly; you authorize recurring charges to the card on file. – We may increase prices from time to time. If we do, we’ll email you at least thirty days before your next billing date; the higher price starts with that charge unless you cancel. – Prices exclude any taxes-you pay those. – Late payments get 1.5% monthly interest; after ten days unpaid, we can suspend access.
5. Intellectual Property We own all rights to the Services, app, website, and any promotional materials we create (e.g., email drafts). You grant us a non-exclusive, royalty-free license to use your location data and logos for promotional purposes within the Services.
6. Termination – You may cancel anytime via your dashboard; access ends at the billing cycle’s close. – We may terminate or suspend your membership for violations (e.g., non-compliance with email obligations), with 7 days’ notice where possible. – Upon termination, you lose access to the dashboard and any ongoing promotions. No refunds for partial months.
7. Disclaimers and Limitation of Liability THE SERVICES ARE PROVIDED AS IS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Indemnification You agree to indemnify and hold us harmless from claims arising from your use of the Services, your email campaigns, or breach of these Terms.
9. Governing Law and Dispute Resolution These Terms are governed by the laws of , without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state/federal courts of . We encourage informal resolution first-contact us at .
10. Changes to Terms We may update these Terms with 30 days’ notice via email or website. Continued use after changes constitutes acceptance.
